July 24, 2025: UnitedHealth discloses in a securities filing that it is complying with formal criminal and civil requests from the Department of Justice.

July 2026: the stock has risen nearly 80 percent from its trough, and no resolution has been disclosed.

The forgiveness has a date.
The verdict does not.


IN TODAY’S ARTICLE:

  • July 24, 2025: the company confirms formal criminal and civil requests from the Department of Justice concerning its Medicare program participation. Five days later, it cuts its earnings guidance nearly in half.

  • Through 2026, the repair: roughly 1.1 million members off the rolls, benefits repriced, the physician roster sorted, margins restored. The last article itemized that bill.

  • By July 2026, the stock trades nearly 80 percent above its trough, at roughly the multiple it commanded before the collapse. The 10-K discloses no resolution.

  • Between the trough and the rally, no resolution of the inquiry was publicly disclosed. The price moved anyway. That gap is today’s article.

THE COLLAPSE

April 17, 2025: UnitedHealth reports its first earnings miss since 2008, and cuts adjusted EPS guidance from a range of $29.50 to $30.00 down to $26.00 to $26.50.

May 13, 2025: CEO Andrew Witty resigns. Stephen Hemsley returns to the top job. Guidance is withdrawn entirely.

Two beats in, the story is an operating failure. Bids mispriced, costs underestimated, leadership replaced. Painful, ordinary, the kind of year public companies survive.

The third beat is the one this article exists for.


THE CONFIRMATION

July 24, 2025: UnitedHealth discloses in a securities filing that it is complying with formal criminal and civil requests from the Department of Justice concerning its Medicare program participation. The company says it reached out to the Department proactively and expresses full confidence in its practices.

Mark what the statement establishes, and only that. Formal requests exist. They are both criminal and civil in nature. They concern the Medicare business, which is to say the business this series has spent four articles walking through: the members, the delegated risk, the physicians, the facilities, the bids.

Requests are investigative steps. They are not charges, and they are not findings. What they are is unresolved.

July 29, 2025: five days after the confirmation, the reset.
Adjusted EPS guidance of at least $16, nearly half the original number.

August 1, 2025: the stock closes at $237.77, down 62 percent from its November peak.

In a single summer week, the company confirmed an open criminal and civil inquiry and halved its earnings floor. By the time the stock found its bottom, both were on the record.


THE REPAIR

The next two beats ran through 2026, and the last article itemized them.

Roughly 1.1 million Medicare Advantage members off the rolls, 600,000 of them in discontinued plans. Counties exited, benefits adjusted, and premiums and cost-sharing increased for the members who stayed.

The physician roster sorted into the company’s own categories: employed, contractually dedicated, or removed, with the rebuild running toward 2028.

July 16, 2026: second-quarter results beat expectations. The medical-care ratio improves to 86.7 percent. Full-year guidance rises to a range of $19.50 to $20.00.

The margins recovered. The bill went to the members and the physicians. What follows is what the market did with the beat this article opened on, the one the repair could not touch.
